By accessing or using Nearby Property (the “Service”), operated by Nearby Property (“Company,” “we,” “us,” or “our”), available at nearby.property, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Nearby Property Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

Nearby Property is a property intelligence platform that provides zoning data, parcel data, and development analysis for real estate professionals. The Service may include, but is not limited to:

• Zoning information and zoning code lookups
• Parcel data aggregation and display
• Development feasibility analysis
• Property reports and data exports
• Mapping and geospatial visualization tools

The Service is designed to assist real estate professionals in research and analysis. It is not a substitute for professional legal, planning, or engineering advice.

3. Important Disclaimer Regarding Data

All data provided through Nearby Property is for informational purposes only. While we strive to maintain accurate and up-to-date information, we make no guarantees regarding the accuracy, completeness, or currentness of any data provided through the Service.

You acknowledge and agree that:

• Zoning data, parcel data, and development analysis results should be independently verified with the relevant local planning department or municipal authority before making any decisions.
• The Service does not provide legal advice, planning advice, engineering advice, or any other form of professional counsel.
• The Service is not a substitute for consultation with qualified attorneys, licensed planners, surveyors, or other professionals.
• Zoning codes and land-use regulations change frequently, and there may be a delay between official changes and updates reflected in the Service.
• You are solely responsible for verifying all information before relying on it for any real estate transaction, development decision, or investment.

4. Account Terms

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.

You must be at least 18 years of age to use the Service. Each account is for a single user unless otherwise specified by a team or enterprise plan.

Certain data provided through the Service may be derived from public records and third-party sources. Our compilation, organization, and presentation of such data is proprietary.

7. Payment Terms

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to the following:

• Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected).
• Payment is processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method for all fees incurred.
• All fees are non-refundable unless otherwise stated or required by applicable law.
• We reserve the right to change subscription pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.
• If payment fails, we may suspend access to paid features until payment is successfully processed.

You are responsible for any applicable taxes associated with your subscription.

8. Termination

You may terminate your account at any time by contacting us or using the account settings within the Service. Upon termination, your right to use the Service will immediately cease.

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, all provisions of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Nearby Property and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

Without limiting the foregoing, we shall not be liable for any decisions made or actions taken based on data or information provided through the Service. You assume all risk associated with your use of and reliance on any data obtained through the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of such courts.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, either by posting a notice on the Service or by sending an email to the address associated with your account.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
